DUFUNDED — TERMS OF SERVICE

1. DEFINITIONS

"Account" means the user account created to access the Services.

"Challenge" means a trading evaluation program offered by DuFunded with specified objectives, risk parameters, Trading Rules and other conditions.

"Challenge Fee" means the fee paid for access to a Challenge and the related digital Services.

"Demo Environment" or "Simulated Environment" means a virtual trading environment in which account balances, orders, positions, profits and losses are simulated or otherwise notional.

"Funded Account" or "Funded Stage" means a stage of a DuFunded program that may become available after successful completion of the applicable evaluation requirements. Unless DuFunded expressly states otherwise in a separate written agreement, a Funded Account remains a simulated environment and does not represent an account containing live trading capital.

"Virtual Balance" means a notional amount displayed within a simulated trading account. A Virtual Balance is not cash, electronic money, a deposit, client money or an asset owned by the User.

"Performance Reward", "Reward" or "Payout" means a payment that DuFunded may make to an eligible participant based on simulated performance, compliance with the applicable rules and DuFunded's review and approval process.

"Trading Rules" means the rules, limits, conditions, prohibited strategies and other parameters applicable to a particular program.

"User", "you" or "your" means the person accessing or using the Services.

2. WHAT DUFUNDED PROVIDES

DuFunded provides technology-based trading evaluation and skill-assessment services.

The Services may include:

• trading Challenges;
• simulated trading accounts;
• virtual account balances;
• trading analytics and performance statistics;
• dashboards and account-management tools;
• educational and informational materials;
• trading-related performance assessment;
• account progression opportunities;
• eligibility reviews for Performance Rewards;
• customer support and administrative services.

The Services are designed to allow participants to test, demonstrate and evaluate trading-related skills in a simulated environment.

DuFunded does not provide you with client capital for your personal trading activities merely because an account is described as "Funded".

The word "Funded" describes the structure or branding of a particular program and does not, by itself, mean that you receive ownership, custody, possession or control of real trading capital.

3. SIMULATED TRADING — NO REAL TRADING CAPITAL

3.1 The Core Principle

DuFunded accounts are simulated unless DuFunded expressly states otherwise in a separate written agreement.

All balances shown in a Challenge or Funded Account are virtual or notional.

Trading activity performed through the Services is intended to simulate market trading for evaluation and educational purposes.

Unless expressly agreed otherwise in writing:

• you do not deposit trading capital with DuFunded;
• DuFunded does not hold your trading capital;
• you do not own the Virtual Balance shown in your Account;
• Virtual Profits are not cash belonging to you;
• Virtual Losses do not represent a loss of your personal trading capital;
• your simulated orders do not constitute orders placed by you on a live exchange;
• DuFunded does not provide you with a personal live brokerage account;
• you are not entrusted with DuFunded's money for the purpose of trading.

A displayed balance of $10,000, $50,000, $100,000 or any other amount is therefore a simulation parameter, not a bank balance, deposit, investment, loan or amount of money held for you.

3.2 No Client Funds

DuFunded does not accept Virtual Balances as deposits and does not treat them as client assets.

The Services should not be understood as a mechanism through which you deposit money with DuFunded for the purpose of generating investment returns.

3.3 No Ownership of Simulated Profits

Any profit displayed by the trading platform is a simulated result.

A simulated profit becomes relevant to a potential Performance Reward only after the applicable eligibility requirements, rule checks, compliance review and approval process have been completed.

4. NO BROKERAGE OR INVESTMENT SERVICES

DuFunded is not your broker, investment adviser, portfolio manager, custodian, bank or asset manager.

The Services do not create:

• an investment-management relationship;
• a brokerage relationship;
• a fiduciary relationship;
• an employment relationship;
• a partnership or joint venture;
• a client-money relationship;
• a relationship in which DuFunded manages your personal investment capital.

DuFunded does not provide personalized investment, financial, tax or legal advice.

Information provided through the Services is general and educational in nature.

5. CHALLENGES AND PROGRAM RULES

Each Challenge may have its own:

• starting Virtual Balance;
• profit target;
• maximum loss;
• daily loss limit;
• drawdown methodology;
• minimum or maximum trading days;
• trading restrictions;
• prohibited strategies;
• position-size restrictions;
• news-trading restrictions;
• overnight and weekend restrictions;
• consistency requirements;
• other eligibility criteria.

The applicable rules may be displayed during checkout, inside the Dashboard, on the website, in the Help Center or through other official DuFunded communications.

You are responsible for understanding the rules applicable to the program you purchase.

Different programs may have different requirements. Where a product-specific rule conflicts with these general Terms, the product-specific rule will control with respect to that product or feature, unless expressly stated otherwise.

6. CHALLENGE FEES

The Challenge Fee is a fee for access to a digital evaluation service and related Services.

It is not:

• a deposit;
• an investment;
• trading capital;
• margin;
• collateral;
• client money;
• a contribution to a live trading account;
• money held on your behalf;
• a purchase of the Virtual Balance.

The amount displayed at checkout is the applicable price at the time of purchase.

DuFunded may change pricing, discounts, products, account parameters or program structures for future purchases.

7. PERFORMANCE REWARDS AND PAYOUTS

7.1 A Reward Is Not the Same Thing as a Simulated Profit

A simulated profit shown in your Account does not automatically become money owed to you.

A Performance Reward is a separate contractual payment that may be available to a participant who satisfies the applicable eligibility conditions.

Passing a Challenge, reaching a profit target or showing a positive simulated balance does not by itself create an unconditional right to a Payout.

7.2 Eligibility Does Not Equal Automatic Approval

Meeting the published trading criteria generally makes a participant eligible to be considered for a Performance Reward.

It does not mean that the Reward is automatically approved.

DuFunded may review:

• trading activity;
• compliance with all applicable rules;
• account history;
• prohibited or abusive strategies;
• trading patterns;
• account integrity;
• identity and verification information;
• payment information;
• multiple-account activity;
• suspicious or coordinated activity;
• technical or platform issues;
• compliance and legal considerations.

Eligibility means that a request may be considered. Approval remains subject to the applicable review process.

7.3 DuFunded's Review and Discretion

Performance Rewards are subject to DuFunded's review and approval.

To the maximum extent permitted by applicable law, DuFunded reserves the right to approve, delay, adjust, reduce, reject, suspend or cancel a requested Performance Reward where DuFunded reasonably determines that:

• applicable Trading Rules were violated;
• the Account was used in a prohibited or abusive manner;
• trading activity was inconsistent with the purpose of the program;
• the Account or identity cannot be adequately verified;
• the activity appears fraudulent, manipulative or coordinated;
• there are reasonable concerns regarding Account integrity or platform abuse;
• payment or compliance requirements have not been satisfied;
• the requested Reward was calculated using erroneous or invalid trading data;
• technical, data or execution anomalies materially affected the Account;
• payment would violate applicable law or compliance requirements;
• another material condition of this Agreement or the applicable program terms has not been satisfied.

If a material or confirmed violation is identified, DuFunded may cancel or withhold the affected Performance Reward and may restrict or terminate the relevant Account in accordance with the applicable program terms.

A Payout request, displayed profit or positive Account balance does not create an unconditional right to payment before the applicable review and approval process is completed.

DuFunded intends to administer its Reward process consistently, in good faith and in accordance with these Terms and applicable law.

7.4 No Guaranteed Payout

DuFunded does not guarantee:

• a Challenge pass;
• account progression;
• a Funded Stage;
• a Performance Reward;
• a specific Reward amount;
• a specific processing time;
• future access to any particular program.

Past Payouts do not create a guarantee of future Payouts.

A previous approval of a Reward does not require DuFunded to approve a later request where the relevant circumstances differ.

8. PAYOUT REVIEW

Before approving a Performance Reward, DuFunded may require additional information or verification.

This may include:

• identity verification;
• proof of identity;
• proof of address;
• payment-account verification;
• video verification or verification call;
• additional Account information;
• an explanation of trading activity;
• compliance checks;
• fraud-prevention checks.

A Reward request may remain pending while such review is completed.

DuFunded may suspend or delay processing of a Reward while required verification or review is outstanding.

If required information is not provided, DuFunded may be unable to process the Reward.

9. FAIR USE AND PROHIBITED TRADING ACTIVITY

Users must use the Services in a manner consistent with their intended purpose.

Unless expressly permitted by the applicable program rules, prohibited activity may include:

• exploiting technical errors;
• exploiting price-feed errors;
• exploiting platform latency;
• manipulating or attempting to manipulate simulated data;
• using unauthorized automated systems;
• account sharing;
• transferring account credentials;
• allowing another person to trade on your Account;
• using another person's identity;
• coordinated trading intended to circumvent program restrictions;
• creating or controlling accounts for the purpose of defeating limits;
• deliberately exploiting discrepancies between connected platforms;
• attempting to reverse-engineer or interfere with the Services;
• fraudulent activity;
• abusive use of promotions, discounts or referral programs;
• any activity prohibited by the applicable Trading Rules.

DuFunded may investigate activity where it reasonably believes that the Services are being abused or used contrary to their intended purpose.

10. ACCOUNT SECURITY

You are responsible for maintaining the confidentiality of your login credentials.

You must not:

• sell your Account;
• rent your Account;
• share your password;
• permit another person to trade on your Account;
• impersonate another person.

You must notify DuFunded promptly if you believe your Account has been compromised.

DuFunded is not responsible for losses resulting from your failure to protect your credentials, except to the extent liability cannot lawfully be excluded.

11. MULTIPLE ACCOUNTS

DuFunded may establish limits concerning the number of Accounts a User may maintain.

Where multiple Accounts are permitted, they must be operated in accordance with the applicable program rules.

DuFunded may review related Accounts where it reasonably suspects that multiple Accounts are being used to circumvent restrictions, coordinate prohibited activity, artificially distribute risk or otherwise abuse the Services.

The use of multiple Accounts, whether held by the same person or different persons, does not permit users to circumvent program rules or create coordinated trading arrangements that are prohibited by the applicable Trading Rules.

12. IDENTITY AND COMPLIANCE VERIFICATION

DuFunded may require identity and compliance verification:

• before granting access to certain Services;
• before progression to a Funded Stage;
• before approving a Performance Reward;
• after unusual activity is detected;
• where required for fraud prevention;
• where required by applicable law.

DuFunded may suspend or delay processing of a Reward while verification is outstanding.

Providing false, incomplete or misleading information may result in account restriction or termination.

13. REFUNDS AND CANCELLATIONS

Unless otherwise stated at checkout or required by applicable law, Challenge Fees are generally non-refundable once access to the digital Services has been provided.

A Challenge Fee is paid for access to an evaluation service and is not a deposit into a trading account.

If you believe you were charged incorrectly or have a billing issue, contact Support@dufunded.com.

Nothing in this section excludes any mandatory consumer rights that cannot lawfully be excluded.

14. INTELLECTUAL PROPERTY

The DuFunded website, Dashboard, software, branding, logos, text, graphics, designs, databases, analytics and other materials are owned by or licensed to DuFunded and are protected by applicable intellectual-property laws.

You receive a limited, personal, non-transferable right to use the Services for their intended purpose.

You may not copy, reproduce, redistribute, reverse-engineer, modify, sell or commercially exploit DuFunded materials without prior written permission.

15. AVAILABILITY AND THIRD-PARTY SERVICES

The Services may depend on third-party technology providers, trading platforms, data providers, hosting providers, payment processors or other infrastructure.

DuFunded does not guarantee uninterrupted availability of every part of the Services.

Temporary interruptions may occur due to:

• maintenance;
• upgrades;
• technical failures;
• third-party outages;
• cybersecurity incidents;
• internet failures;
• market-data interruptions;
• circumstances outside DuFunded's reasonable control.

16. RISK DISCLOSURE

Trading-related activity involves substantial risk when conducted in live financial markets.

The simulated nature of the Services does not make external live trading risk-free.

DuFunded does not represent that participation in a Challenge will lead to:

• trading success;
• employment;
• investment returns;
• future funding;
• guaranteed income;
• a live trading account;
• any particular financial outcome.

You should not purchase a Challenge on the assumption that you will receive a Performance Reward.

17. NO GUARANTEE OF RESULTS

DuFunded makes no guarantee regarding:

• your trading performance;
• your ability to pass a Challenge;
• your ability to progress through a program;
• your ability to qualify for a Reward;
• the amount of any Reward;
• the frequency of Rewards;
• your future earnings.

Any examples, statistics, testimonials or historical results are illustrative only and do not constitute a promise of future performance.

18. SUSPENSION AND TERMINATION

DuFunded may suspend or terminate an Account where it reasonably determines that:

• these Terms have been breached;
• applicable Trading Rules have been breached;
• fraudulent or abusive activity has occurred;
• Account credentials have been shared;
• identity information is false or misleading;
• the Services are being used unlawfully;
• the integrity or security of the platform is threatened;
• continued access could expose DuFunded to legal, payment, security or other material risk.

Where appropriate and legally permitted, DuFunded may provide notice and an opportunity to resolve an issue.

However, immediate suspension or termination may occur where necessary to protect the Services, Users, DuFunded or third parties.

19. EFFECT OF TERMINATION

Following termination, you may lose access to your Account and related Services.

Unless required otherwise by applicable law or expressly approved by DuFunded, termination does not create a right to receive payment based solely on an unrealized or simulated Account balance.

Termination resulting from a material breach may result in cancellation of any pending Reward request associated with the affected Account.

Where an Account is terminated for a material violation of the applicable Terms or Trading Rules, any affected Performance Reward may be cancelled or withheld in accordance with these Terms and the applicable program rules.

20. DISCLAIMERS

To the maximum extent permitted by applicable law, the Services are provided on an "AS IS" and "AS AVAILABLE" basis.

DuFunded does not guarantee that:

• the Services will always be available;
• the Services will be error-free;
• simulated prices or data will always be accurate;
• every technical feature will operate continuously;
• a User will achieve any particular result.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

21. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, DuFunded shall not be liable for indirect, incidental, special, consequential or punitive damages, including loss of profits, loss of business opportunity, loss of data or other economic loss arising from your use of the Services.

Where liability cannot lawfully be excluded, it shall be limited to the maximum extent permitted by applicable law.

Nothing in these Terms limits liability for matters that cannot legally be limited or excluded.

22. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless DuFunded and its officers, employees, contractors and service providers from claims, liabilities, damages and reasonable costs arising from:

• your breach of these Terms;
• your misuse of the Services;
• fraudulent or unlawful conduct;
• infringement of third-party rights;
• unauthorized use of your Account.

23. CHANGES TO THE SERVICES

DuFunded may modify, suspend, discontinue or replace parts of the Services.

Changes may include:

• new or discontinued Challenges;
• pricing changes;
• changes to Account parameters;
• changes to Trading Rules;
• new verification procedures;
• technical changes;
• changes to available payment methods.

Changes affecting an existing User will be handled in accordance with applicable law and any mandatory notice requirements.

24. CHANGES TO THESE TERMS

DuFunded may update these Terms from time to time.

The updated version will be published through the website or otherwise made available to Users.

The "Last Updated" date indicates when the Terms were most recently revised.

Your continued use of the Services after an effective update constitutes acceptance of the revised Terms to the extent permitted by applicable law.

25. ELECTRONIC COMMUNICATIONS

You agree that DuFunded may communicate with you electronically regarding:

• your Account;
• Challenge status;
• verification;
• payments;
• Rewards;
• security;
• service updates;
• these Terms;
• customer support.

You are responsible for maintaining access to the email address associated with your Account.

DuFunded may request additional information necessary to investigate and resolve your request.

27. GOVERNING LAW

These Terms are subject to applicable law.

Any dispute arising from or relating to these Terms or the Services will be handled in accordance with the mandatory dispute-resolution rights and procedures applicable to the User and the Services.

Nothing in this section limits any mandatory rights or protections that cannot lawfully be excluded.

A more specific governing-law or dispute-resolution provision may be added through an applicable agreement or published update where legally appropriate.

28. SEVERABILITY

If any provision of these Terms is determined to be invalid, unlawful or unenforceable, that provision shall be interpreted or modified to the minimum extent necessary to make it enforceable, where legally permitted.

The remaining provisions shall continue in full force and effect.

29. NO WAIVER

Failure by DuFunded to enforce any provision of these Terms does not constitute a waiver of that provision or DuFunded's right to enforce it later.

30. ENTIRE AGREEMENT

These Terms, together with the applicable program rules, checkout terms, Privacy Policy and other documents expressly incorporated into them, constitute the agreement between you and DuFunded concerning the Services.

If there is a conflict between these Terms and a product-specific rule, the product-specific rule will control only with respect to the relevant product or feature, unless otherwise stated.

31. FINAL ACKNOWLEDGEMENT

By using DuFunded, you acknowledge that you understand the fundamental nature of the Services:

DuFunded provides simulated trading evaluation services. The balances displayed within the platform are virtual or notional. They are not deposits, client funds or capital entrusted to you for live trading.

A successful simulated trading result may make you eligible to request a Performance Reward, but simulated profit is not itself a cash balance and a Reward is not an automatic conversion of simulated profit into money.

Eligibility for a Performance Reward does not constitute an unconditional right to payment. DuFunded may review trading activity, account integrity, compliance, verification and other relevant circumstances before approving a Reward. Where a material or confirmed violation of the applicable rules or Terms is identified, the affected Reward may be delayed, adjusted, rejected, cancelled or withheld in accordance with these Terms and the applicable program rules.

By purchasing or using the Services, you confirm that you have read, understood and accepted these Terms.
